Terms of Service
Effective date: 14 October 2026
These terms are an agreement between you and Affection Labs, Inc. ("we", "us"). They cover your use of Lapwing at https://lapwing.live (the "Service"). By using the Service, you agree to these terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. Who can use the Service
You may use the Service only if:
- you are 18 or older;
- you received a valid access code; and
- you can legally agree to these terms where you live.
If you use the Service on behalf of a company, you confirm you may bind that company to these terms.
2. This is a beta
The Service is a closed beta. It is free during the beta. It is unfinished and may:
- contain bugs or errors;
- be slow, go offline, or lose data;
- change, or stop, at any time and without notice.
We make no promise about uptime or availability. We may limit how long or how often you use it.
3. Maki is an AI
Maki is an AI character. She is not a person. Her words, voice and movements are generated by computer systems.
- What Maki says may be wrong, made up, or inappropriate. Do not rely on it.
- Nothing Maki says is medical, legal, financial, mental health or other professional advice.
- The Service is not for emergencies. If you are in danger or in crisis, contact your local emergency number or a crisis line.
- Maki may remember things you told her in earlier calls. See the Privacy Policy for how this works and how to delete it.
- Calls with Maki are recorded, as the Privacy Policy describes.
4. Access codes
Your access code is personal to you.
- Do not share, sell or publish it.
- We may withdraw any code at any time. When we do, access with that code stops.
- If you think someone else is using your code, tell us.
5. Acceptable use
You agree not to:
- share your access code or help others get around the access check;
- scrape, crawl or copy the Service or its content by automated means;
- use bots, scripts or other automation to talk to Maki or use the Service;
- reverse engineer, decompile or try to find the source code or how the Service is built, except where the law gives you a right that these terms cannot restrict;
- probe, scan or test the Service for weaknesses, or try to break its security;
- try to get Maki or the Service to reveal its hidden instructions or settings;
- overload or disrupt the Service;
- say, type or upload personal data about other people, such as their name, contact details or private information, without their permission;
- use the Service to harass, threaten or harm anyone;
- use the Service for anything illegal, or to create content that is illegal;
- record, copy or share Maki's voice, image or likeness to make it look like she said something she did not, or to impersonate her or us;
- use the Service to build a competing product.
We may investigate misuse and take action, including ending your access.
6. Our intellectual property
We own the Service, including Maki, her name, look and voice, the website, the software, and what Maki says and does in the Service. These terms do not give you any ownership of them.
We give you a limited, personal, non-exclusive, non-transferable and revocable right to use the Service for your own, non-commercial purposes during the beta, under these terms. You may keep and share your own recordings of your conversations for personal, non-commercial use, as long as you do not break section 5.
If you send us feedback or ideas, we may use them freely and without paying you.
7. Your content
"Your content" means what you say or type to Maki, including your voice.
You keep any rights you have in your content. You give us a worldwide, royalty-free, perpetual licence to store, copy, process, analyse and use your content to run, improve and develop the Service. This licence lets our service providers process your content for us. It does not let us sell your content or use it for advertising.
You confirm that you have the right to share your content, and that it does not break these terms or anyone else's rights.
We keep and delete your content as described in the Privacy Policy.
8. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied. This includes warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.
We do not promise that the Service will be accurate, safe, uninterrupted, secure or free of errors. You use it at your own risk. Nothing in these terms removes rights that the law does not allow us to exclude.
9. Limitation of liability
To the fullest extent the law allows:
- We are not liable for any indirect, incidental, special, consequential or punitive damages. We are not liable for lost profits, lost data, or harm caused by relying on anything Maki said.
- Our total liability for all claims about the Service is limited to the greater of (a) the amount you paid us in the 12 months before the claim, or (b) US$100.
These limits do not apply to fraud, intentional misconduct, or any liability that the law does not allow us to limit. Some places do not allow these limits. Where that is so, the limits apply only as far as the law allows.
10. Indemnity
You agree to cover our losses and costs, including reasonable legal fees, from any claim caused by your breach of these terms or your misuse of the Service.
11. Ending your access
You may stop using the Service at any time. To have your data deleted, follow the steps in the Privacy Policy.
We may suspend or end your access at any time, for any reason or no reason, with or without notice. We may also end the beta or the Service.
When your access ends, sections 3, 6, 7, 8, 9, 10, 12 and 13 still apply.
12. Governing law and disputes
These terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. Any dispute will be heard only in the state or federal courts located in Delaware, and you and we agree to those courts' jurisdiction. Protections that the law where you live does not let you waive still apply.
13. Other terms
- These terms and the Privacy Policy are the whole agreement between you and us about the Service.
- If a court finds part of these terms invalid, the rest stays in force.
- If we do not enforce a term, we do not give up our right to enforce it later.
- You may not transfer your rights under these terms. We may transfer ours, for example if Affection Labs is sold or merged.
14. Changes to these terms
We may change these terms. When we do, we will post the new version on this page and update the effective date. If a change is important, we will also show a notice on the site before it takes effect. If you keep using the Service after a change, the new terms apply. If you do not agree, stop using the Service.
